By using the service on app.questif.com (hereafter: the Webapp), you have accepted these terms of service (hereafter: the Terms). If you do not agree to the Terms, please do not use the Webapp. We at questif agree to provide the Webapp to you and comply with the Terms and all applicable laws.

These Terms apply to www.questif.com (hereafter: the Landingpage) and the Webapp.

1.1. We offer a service that enables real-time active audience engagement at an event. You can access the Webapp through your electronic device with internet by going to app.questif.com.

1.2. The use of the Webapp is free for your audience. They do not need to register anywhere. They just enter the room code and they are good to go. A presenter needs to create an account on app.questif.com/sign-in to create a room. If the presenter is acting on behalf of a business or organization, the presenter agrees to these Terms on behalf of the business.

1.3. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Webapp.

1.4. You agree not to use the Webapp for any unlawful or prohibited purpose. You also agree not to use the Webapp in any manner that could damage, disable, overburden, or impair the Webapp.

2.1. You may be required to create an account to access certain features of the Webapp. You agree to:

• a. provide accurate, current, and complete information during the registration process; and
• b. update such information to keep it accurate, current, and complete.

2.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

3.1. Your use of the Webapp is subject to our Privacy Policy, which can be found at www.questif.com/privacy-policy. Please review the Privacy Policy for information about how we collect, use, and disclose information about you.

4.1. We treat all your data according to principles of confidentiality and we expect the same treatment from you, if we send you some confidential information.

4.2. With confidential information we mean, non-public information that a party designates as being confidential to the receiving party or, given the nature of the information or the circumstances surrounding its disclosure, reasonably should be considered as confidential by the receiving party.

4.3. Confidential information includes, but is not limited to:

• a. information in tangible or intangible form relating to and/or including user data,
• b. questif security documentation,
• c. released or unreleased disclosing party software or hardware products,
• d. the marketing or promotion of any disclosing party product,
• e. disclosing party's business policies or practices, and
• f. information received from others that disclosing party is obligated to treat as confidential.

4.4. All confidential information is and will remain the property of the disclosing party. By disclosing confidential information to the receiving party, the disclosing party does not grant any express or implied right to the receiving party to or under any patents, copyrights, trademarks, trade secret information or any other intellectual property right, except as otherwise specifically provided herein.

5.1. We own all rights, title, and interest in and to the Webapp and everything connected to it. This includes all intellectual property rights.

5.2. If you provide us with any feedback, comments, or suggestions regarding the Webapp ("Feedback"), you hereby grant us a non-exclusive, perpetual, irrevocable, royalty-free, worldwide license to use, reproduce, modify, adapt, publish, distribute, and sublicense the Feedback.

5.3. You do not get any rights to any questif's intellectual property, you agree to respect all these intellectual property rights and not do anything inconsistent with them.

6.1 You agree to grant questif the right to use and display your name, logo and feedback:

• a. on our landingpage at www.questif.com, and
• b. for other marketing and promotional purposes regarding the use of the Webapp.

6.2. You have the right to request not to use your name, logo and feedback for marketing and promotional purposes. You can do so by contacting us through our contactform on www.questif.com/contact.

7.1. If you infringe any of the clauses laid out in these Terms, the following rules will apply:

• a. We have the right to terminate your access to the Webapp and remove all your data.
• b. You will be liable for all resulting loses and damages. Questif can ask the courts for an injunction or other equitable remedies where damages would not be sufficient to cover all losses.
• c. If third parties are harmed and sue questif, you will indemnify questif for this.

8.1. Disclaimer: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBAPP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8.2. Limitation of Liability: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE WEBAPP.

9.1. The laws of the Netherlands govern these Terms, regardless of any conflicts between Dutch law and other jurisdictions' laws.

10.1. We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

11.1. These Terms constitute the complete and exclusive agreement between you and questif, superseding all prior agreements and understandings. If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, such provision shall be severed from the Terms, and the remaining provisions shall continue in full force and effect.

12.1. If something unforeseeable happens that is beyond the reasonable control of either of us (including but not limited to: war, riot, floods, or hurricanes) and either of us does not do what we should under these Terms, we will be excused from that obligation.
